Welcome to TapFlick. These Terms of Service ("Terms") govern your access to and use of the TapFlick website, app, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.
If you do not agree, do not use the Service.
1. Who we are
TapFlick is a platform that helps users create, share, and track video follow-up cards and related engagement activity.
2. Eligibility
You must be at least 18 years old, or the age of majority where you live, to use the Service. By using TapFlick, you represent that you are legally able to enter into these Terms.
3. Your account
You are responsible for maintaining the confidentiality of your account and for all activity under your account. You agree to provide accurate information and keep it updated.
You must notify us immediately if you believe your account has been accessed without authorization.
4. Subscriptions and billing
Some features may require a paid subscription. Pricing, features, and limits may change from time to time.
If you purchase a subscription:
- You authorize us and our payment processor to charge your selected payment method.
- Subscriptions may renew automatically unless canceled before renewal.
- Fees are generally non-refundable except where required by law.
- We may suspend or downgrade paid features if payment fails, your subscription ends, or your account is otherwise not in good standing.
5. User content
You retain ownership of the content you upload, create, or submit to TapFlick, including videos, text, images, and branding materials ("User Content").
By using the Service, you grant TapFlick a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and display User Content solely as needed to operate, improve, and provide the Service.
You represent that:
- You own or have the necessary rights to your User Content.
- Your User Content does not violate any law or third-party rights.
- Your User Content does not include unlawful, infringing, abusive, deceptive, or harmful material.
6. Prohibited conduct
You agree not to:
- Use the Service for unlawful, fraudulent, deceptive, or abusive purposes.
- Upload malware, harmful code, or attempt to disrupt the Service.
- Infringe intellectual property, privacy, publicity, or other rights.
- Harvest data, scrape the Service, or attempt unauthorized access.
- Send spam or abusive communications through or in connection with the Service.
- Misrepresent yourself or your business.
- Use TapFlick to promote scams, illegal products, or misleading offers.
We may suspend or terminate accounts that violate these Terms.
7. Acceptable communications and user responsibility
You are solely responsible for how you use TapFlick, including the messages, cards, links, and follow-up content you send. You are responsible for complying with applicable marketing, privacy, consumer protection, anti-spam, telemarketing, and messaging laws.
TapFlick provides tools only and does not approve, endorse, or monitor every communication you send.
8. Analytics and alerts
TapFlick may provide engagement data, watch progress, click activity, and alerting features. These metrics are provided for convenience and may not always be complete, real-time, or error-free. You agree not to rely on them as the sole source of truth for legal, compliance, or financial decisions.
9. AI-generated features
Some TapFlick features may use AI to help generate scripts, suggestions, or prompts. AI output may be inaccurate, incomplete, generic, or unsuitable for your use case. You are responsible for reviewing and approving all generated content before using it.
10. Intellectual property
TapFlick and its related branding, software, design, and content are owned by TapFlick or its licensors and are protected by applicable intellectual property laws. Except as expressly allowed, you may not copy, modify, distribute, reverse engineer, or create derivative works from the Service.
11. Feedback
If you provide suggestions, ideas, or feedback, you grant TapFlick the right to use that feedback without restriction or compensation.
12. Third-party services
The Service may integrate with or rely on third-party services, including payment processors, hosting providers, messaging providers, analytics providers, AI providers, and browser push notification systems. We are not responsible for third-party services or their availability, performance, or policies.
13. Service availability
We may modify, suspend, or discontinue all or part of the Service at any time, with or without notice. We do not guarantee uninterrupted availability.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, create risk for us or others, fail to pay required fees, or use the Service in a prohibited manner.
Sections that by their nature should survive termination will survive, including ownership, disclaimers, limitations of liability, indemnification, and dispute terms.
15. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPFLICK DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.
16. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPFLICK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TAPFLICK'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TAPFLICK IN THE 12 MONTHS BEFORE THE CLAIM OR (B) USD $100.
17. Indemnification
You agree to indemnify, defend, and hold harmless TapFlick and its affiliates, officers, employees, agents, and licensors from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Service, your User Content, your communications, or your violation of these Terms or applicable law.
18. Governing law
These Terms are governed by the laws of [State], without regard to conflict-of-law rules.
19. Dispute resolution
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved in the state or federal courts located in [County, State], and you consent to those courts' jurisdiction and venue, unless applicable law requires otherwise.
